TERMS & CONDITIONS - SIGNATURE SERVICE MANAGEMENT LLC

1. ACCEPTANCE OF TERMS

By accessing and using services provided by Signature Service Management LLC (“Company,” “we,” “us,” “our”), you (“Client,” “you,” “your”) agree to be bound by these Terms and Conditions. These terms govern your use of Signature Scout, Signature Fleet, and Signature Access services.

2. SERVICES OVERVIEW

2.1 SIGNATURE SCOUT

Inspection and verification services including but not limited to:

  • Pre-purchase vessel inspections

  • Rental readiness audits

  • Damage assessments

  • Insurance renewal inspections

2.2 SIGNATURE FLEET

Asset management and lease-to-own services including:

  • Vessel management and monetization

  • Lease-to-own financing arrangements

  • Marketing and booking management

  • Maintenance coordination

2.3 SIGNATURE ACCESS

Rental and experience services including:

  • Certified vessel rentals

  • Experience package bookings

  • Concierge services

  • Captain services

3. SIGNATURE SCOUT TERMS

3.1 SERVICE LIMITATIONS

  • Inspections are visual and non-invasive unless otherwise specified

  • Not a substitute for marine survey or mechanical inspection

  • Cannot detect hidden or latent defects

  • No structural, engineering, or code compliance analysis

3.2 CLIENT RESPONSIBILITIES

  • Provide accurate vessel information and access

  • Disclose all known issues and concerns

  • Ensure safe access to vessel and surroundings

  • Pay all fees before report delivery

3.3 REPORT USAGE

  • Reports for client’s personal use only

  • Not transferable or for legal/insurance purposes

  • Company not liable for purchase decisions based on reports

  • Standard delivery timelines apply; contact for priority options

4. SIGNATURE FLEET TERMS

4.1 PROGRAM ELIGIBILITY

  • Vessels in good condition preferred

  • Clear title or lender approval required

  • Good mechanical and cosmetic condition

  • Located in service areas (contact for current locations)

4.2 REVENUE SHARE STRUCTURE

  • Competitive revenue share favoring owners

  • Management fee to Company

  • Monthly minimum guarantee based on vessel value

  • Payments net of applicable commissions and processing fees

4.3 LEASE-TO-OWN TERMS

  • Standard term length

  • Portion of payments accrues as purchase credit

  • Final payment due at term end: Purchase Price - Total Credits

  • Early termination fees may apply

4.4 INSURANCE PROVISIONS

Phase 1: Partner-dependent coverage during booked periods only
Phase 2: Revenue-funded transition to direct commercial policy

  • Owner maintains personal insurance for non-rental periods

  • Company maintains liability coverage during managed periods

4.5 MAINTENANCE & REPAIRS

  • Portion of revenue set aside for maintenance

  • Routine maintenance coordinated and performed by Company

  • Emergency repairs authorized up to reasonable limits with owner notification

  • Major repairs require owner consultation

5. SIGNATURE ACCESS TERMS

5.1 RENTER QUALIFICATIONS

  • Minimum age requirement

  • Valid boating license or certification

  • Acceptable experience level for vessel type

  • Clean background and driving record

5.2 RENTAL AGREEMENT

  • Security deposit required

  • Damage waiver or insurance selection mandatory

  • Fuel and provisions responsibility of renter

  • Late return fees apply

5.3 SAFETY & OPERATION

  • USCG safety equipment provided and required

  • Operational areas restricted to approved zones

  • No commercial use without authorization

  • Zero tolerance for operating under influence

5.4 DAMAGE & LIABILITY

  • Renter liable for damage up to security deposit amount

  • Major damage claims processed through insurance

  • Theft or loss responsibility of renter

  • Cleanliness fees for excessive mess

6. PAYMENT TERMS

6.1 FEE STRUCTURES

Scout Services: Paid upon booking, non-refundable if inspection completed
Fleet Services: Monthly revenue share distributions in the following month
Access Services: Full payment required to confirm booking

6.2 CANCELLATION POLICIES

Scout: Advance notice required or cancellation fee applies
Fleet: Written notice for program termination
Access: Notice periods for full or partial refunds
Contact for specific timelines and fees.

6.3 DISPUTES & CHARGEBACKS

  • Period to dispute charges

  • Unauthorized chargebacks result in service termination

  • All disputes subject to Florida jurisdiction

7. INTELLECTUAL PROPERTY

7.1 OWNERSHIP

  • Company retains all rights to processes, systems, and data

  • Client vessel data used for analytics and improvement

  • Marketing materials and photos Company property

7.2 USE RESTRICTIONS

  • No replication of business model or processes

  • No use of Company name without authorization

  • Client lists and data confidential

8. LIABILITY & INDEMNIFICATION

8.1 LIMITATION OF LIABILITY

Company liability limited to fees paid for service in question. Not liable for:

  • Consequential or incidental damages

  • Lost revenue or opportunity costs

  • Third-party actions or negligence

  • Acts of God or unforeseen events

8.2 INDEMNIFICATION

Client agrees to indemnify Company against:

  • Claims arising from client-provided information

  • Client vessel condition or performance

  • Client negligence or misconduct

  • Third-party claims related to client assets

9. DISPUTE RESOLUTION

9.1 GOVERNING LAW

  • Florida law governs these terms

  • Monroe County venue for all disputes

  • English language controls

9.2 ARBITRATION

  • Binding arbitration required before litigation

  • Each party bears own attorney fees

  • No class action participation permitted

10. TERMINATION

10.1 BY COMPANY

  • Material breach of terms

  • Non-payment of fees

  • Fraud or misrepresentation

  • Illegal or dangerous activities

10.2 BY CLIENT

  • Written notice for Fleet services

  • Immediate for Scout and Access (subject to cancellation terms)

11. MISCELLANEOUS

11.1 ENTIRE AGREEMENT

These terms constitute the entire agreement between parties, superseding all prior discussions and agreements.

11.2 SEVERABILITY

If any provision found invalid, remaining terms remain in full effect.

11.3 FORCE MAJEURE

Not liable for delays or failures due to circumstances beyond reasonable control including weather, strikes, or government actions.

11.4 MODIFICATIONS

Company may modify terms with notice. Continued use constitutes acceptance.

11.5 ASSIGNMENT

Company may assign rights and obligations. Client may not assign without written consent.

12. ACKNOWLEDGEMENT

By using our services, you acknowledge:

  • Reading and understanding these terms

  • Authority to enter this agreement

  • Receipt of all required disclosures

  • Agreement to electronic communications

1. INSURANCE FRAMEWORK OVERVIEW

Signature Service Management utilizes a hybrid insurance model that leverages partner-provided coverage during initial phases and transitions to direct commercial policies as revenue scales. This approach minimizes upfront costs while maintaining appropriate protection. Contact for details on current partners.

2. PLATFORM-DEPENDENT INSURANCE PHASE

2.1 COVERAGE ACTIVATION

  • Insurance coverage activates only during booked rental periods through approved partners

  • Coverage begins at scheduled rental start time and terminates at scheduled end time

  • No coverage during: Owner use, maintenance periods, transit without booking, or storage

2.2 PLATFORM COVERAGE SPECIFICS

Based on current partner agreements:

LIABILITY COVERAGE:

  • Industry-standard limits per occurrence

  • Covers bodily injury and property damage to third parties

  • Includes wreck removal and pollution liability

HULL COVERAGE:

  • Physical damage protection up to vessel value

  • Agreed value or actual cash value basis

  • Standard deductibles apply

  • Covers collision, sinking, fire, theft, vandalism

ADDITIONAL COVERAGES:

  • Uninsured boater protection

  • Medical payments

  • Personal effects coverage

2.3 PLATFORM INSURANCE LIMITATIONS

  • Geographic restrictions may apply

  • Vessel type limitations

  • Renter qualifications must meet partner standards

  • Commercial use typically excluded

  • Racing or speed competitions excluded

3. OWNER INSURANCE REQUIREMENTS

3.1 PERSONAL POLICY MANDATE

All Fleet owners must maintain personal insurance meeting minimum requirements:

  • Liability limits

  • Hull coverage

  • Rental endorsement or compatibility

  • Lender/lienholder approval if applicable

3.2 COVERAGE GAPS RESPONSIBILITY

Owner responsible for coverage during:

  • Personal use periods

  • Maintenance and storage

  • Transit to/from maintenance facilities

  • Activation delays

4. REVENUE-FUNDED TRANSITION PHASE

4.1 TRANSITION TRIGGERS

Direct commercial policy acquisition occurs when certain revenue or operational thresholds are met. Contact for specifics.

4.2 TRANSITION BENEFITS

  • Continuous coverage regardless of booking status

  • Competitive rates

  • Customized terms

  • Reduced dependency on partner changes

5. RENTER COVERAGE OPTIONS

5.1 DAMAGE WAIVER PROGRAM

  • Cost varies by vessel

  • Coverage: Reduces liability for accidental damage

  • Exclusions: Gross negligence, intentional damage, policy violations

5.2 RENTER-PROVIDED INSURANCE

  • Minimum requirements apply

  • Proof of insurance required before rental

  • Company named as additional insured during rental period

5.3 SECURITY DEPOSIT TERMS

  • Standard hold based on vessel value

  • Hold released after incident-free return

  • Deductions: For damage, extra cleaning, late returns, policy violations

6. CLAIMS PROCESS & PROCEDURES

6.1 INCIDENT REPORTING

Immediate Requirements:

  • Contact Company operations

  • Document scene

  • Obtain witness information if applicable

  • Complete incident report form

6.2 PLATFORM CLAIMS PROCESS

  1. Notification to partner

  2. Documentation submission

  3. Adjuster assignment

  4. Resolution timeline

6.3 DEDUCTIBLE RESPONSIBILITY

  • Owner or renter responsible as applicable

  • Waiver may cover if purchased

  • Negligence determination affects allocation

7. RISK MANAGEMENT REQUIREMENTS

7.1 VESSEL SAFETY STANDARDS

  • USCG requirements must be met

  • Regular safety checks

  • Pre-rental inspections

  • Maintenance compliance

7.2 RENTER VETTING PROTOCOLS

  • Experience verification

  • Background screening

  • Safety briefing mandatory

  • Operational restrictions based on experience

8. COVERAGE EXCLUSIONS & LIMITATIONS

8.1 UNIVERSAL EXCLUSIONS

  • Wear and tear or mechanical breakdown

  • Manufacturer defects or latent issues

  • Animal or marine life damage

  • Nuclear hazard or war risks

  • Intentional illegal activities

8.2 OPERATIONAL EXCLUSIONS

  • Racing or speed competitions

  • Chartering beyond approved capacity

  • Operation by unapproved operators

  • Violation of navigational boundaries

  • Failure to secure vessel properly

9. POLICY CHANGE PROTOCOLS

9.1 PARTNER CHANGES

  • Notice required for material changes

  • Alternative arrangements if needed

  • Client notification of reductions

9.2 OWNER CHANGES

  • Notice required for personal policy changes

  • Proof of new coverage required

  • Company approval for replacements

10. INDEMNIFICATION & LIABILITY

10.1 OWNER RESPONSIBILITIES

  • Maintain required insurance

  • Disclose vessel conditions

  • Cooperate with investigations

  • Pay deductibles

10.2 COMPANY RESPONSIBILITIES

  • Maintain compliance

  • Manage claims

  • Provide oversight

  • Notify of changes

11. DISPUTE RESOLUTION

11.1 COVERAGE DISPUTES

  • Binding arbitration required

  • Florida maritime law governs

  • Each party bears costs

11.2 THIRD-PARTY CLAIMS

  • Company manages claims

  • Owners cooperate

  • Settlement with insurers

12. ACKNOWLEDGEMENT

By participating in Signature Fleet or Signature Access programs, you acknowledge:

  • Understanding this hybrid insurance model

  • Acceptance of limitations

  • Commitment to maintain required insurance

  • Responsibility for uncovered periods and deductibles
